1. Introduction
These Terms of Service ("Terms") govern the relationship between PT Tujju Post Production ("Tujju," "we," "us," or "our"), a company incorporated under Indonesian law and based in Menteng, Jakarta Pusat, and any individual or entity ("Client," "you," or "your") that engages Tujju for post-production, localization, audio post, picture post, or delivery services, or that accesses tujju.com.
By engaging our services or using our website, you agree to be bound by these Terms. If you do not agree, do not use our services or website.
2. Services
Tujju provides the following services, subject to project-specific agreements:
• Localization — Indonesian dubbing, subtitling, audio description, scripting, and metadata
• Audio Post — dialogue editing, ADR, Foley, music, and final mix
• Picture Post — editing, colour grading, mastering, and restoration
• Delivery — DCP creation, transcoding, and platform or cinema delivery
The specific scope, deliverables, timeline, and fees for each project are set out in a separate project brief, proposal, or service agreement ("Project Agreement") entered into between Tujju and the Client. These Terms apply to all Project Agreements unless expressly excluded in writing.
3. Engagement and Project Agreements
A binding engagement is formed when:
• The Client accepts a written proposal or quotation issued by Tujju; or
• Both parties sign a Project Agreement; or
• The Client delivers project materials to Tujju and Tujju begins work.
Any changes to scope, deliverables, or timeline after engagement must be agreed in writing. Additional scope will be quoted and invoiced separately.
4. Client Responsibilities
The Client agrees to:
• Provide source materials, scripts, and reference assets in the format and quality specified by Tujju at the outset of the project
• Review and approve deliverables within the timeframe agreed in the Project Agreement
• Ensure that all materials provided to Tujju are owned by or licensed to the Client, and that their use does not infringe any third-party intellectual property rights
• Notify Tujju promptly of any errors, changes, or approvals to avoid delays
Delays caused by late delivery of materials, delayed approvals, or scope changes by the Client may result in revised timelines and additional fees, which Tujju will communicate in advance.
5. Fees and Payment
Fees are as set out in the Project Agreement. Unless otherwise agreed:
• Invoices are issued upon project completion or at agreed milestones
• Payment is due within [14] days of the invoice date — fill in your actual payment terms before publishing
• Late payments accrue interest at the rate permitted under applicable Indonesian law
• Tujju reserves the right to withhold delivery of final files until payment is received in full
All fees are stated exclusive of applicable taxes. The Client is responsible for any taxes imposed on them by applicable law in their jurisdiction.
6. Intellectual Property
Ownership of source materials provided by the Client remains with the Client or the relevant rights holders at all times.
Upon receipt of payment in full, Tujju assigns to the Client all rights in the deliverables produced specifically for the Client under the relevant Project Agreement, to the extent those rights are assignable.
Tujju retains ownership of its pre-existing tools, templates, workflows, and methodologies used in producing the deliverables. Nothing in these Terms grants the Client a licence to those pre-existing materials beyond what is necessary to use the deliverables.
The Client warrants that all materials provided to Tujju are free from third-party intellectual property claims. The Client indemnifies Tujju against any claim arising from a breach of this warranty.
7. Confidentiality
Both parties agree to treat as confidential all non-public information received from the other party in connection with a project, including project materials, scripts, unreleased content, business information, and pricing.
This obligation does not apply to information that:
• Is or becomes publicly available through no fault of the receiving party
• Was already known to the receiving party prior to disclosure
• Is required to be disclosed by law or court order — in which case the receiving party will notify the other party as soon as practicable
Tujju will not share client project materials with any third party except subcontractors engaged to deliver the project, who are bound by equivalent confidentiality obligations. Client materials are accessible only to assigned team members.
This confidentiality obligation survives termination of the engagement for a period of 3 years.
8. Revisions and Approvals
The number of included revision rounds is specified in the Project Agreement. Revisions beyond the agreed number will be quoted and invoiced as additional work.
Where the Client fails to provide feedback or approval within the timeframe specified in the Project Agreement, Tujju may treat the deliverable as approved and proceed to the next stage. Tujju is not liable for delays resulting from the Client's failure to respond within agreed timeframes.
9. Limitation of Liability
To the maximum extent permitted by Indonesian law:
• Tujju's total liability to the Client for any claim arising out of or in connection with a project is limited to the fees paid by the Client for the specific project giving rise to the claim
• Tujju is not liable for any indirect, consequential, special, or punitive damages, including loss of revenue, loss of profit, or loss of data
• Tujju is not liable for delays or failures caused by circumstances beyond its reasonable control, including equipment failure, power outages, acts of God, or failure of third-party services
Nothing in these Terms limits liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
10. Warranties and Disclaimer
Tujju warrants that services will be performed with reasonable skill and care, and that deliverables will materially conform to the specifications agreed in the Project Agreement.
Except as set out above, all warranties, representations, and conditions not expressly stated in these Terms are excluded to the fullest extent permitted by law.
The Client is responsible for reviewing and approving all deliverables. Tujju is not liable for errors that were present in approved deliverables unless caused by Tujju's negligence.
11. Termination
Either party may terminate a Project Agreement by written notice if the other party:
• Materially breaches these Terms or the Project Agreement and fails to remedy the breach within 14 days of written notice
• Becomes insolvent, enters bankruptcy or liquidation proceedings, or ceases to carry on business
The Client may terminate a project for convenience with [14] days written notice. In that case, the Client shall pay Tujju for all work completed up to the date of termination, plus any non-recoverable costs already incurred.
Tujju may suspend work on a project if payment is overdue by more than 14 days, without prejudice to any other rights.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Indonesia.
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute is not resolved within 30 days of written notice, it shall be submitted to the jurisdiction of the courts of Jakarta, Indonesia.
13. Website Use
Access to tujju.com is provided for informational purposes. You agree not to:
• Use the site in any way that violates applicable law
• Attempt to gain unauthorised access to any part of the site or its underlying systems
• Scrape, crawl, or extract data from the site by automated means without prior written consent
Tujju reserves the right to restrict or terminate access to the website at any time without notice.
14. Changes to These Terms
Tujju may update these Terms from time to time. The effective date at the top of this document reflects the most recent revision. Continued use of our services or website following an update constitutes acceptance of the revised Terms. For active project engagements, material changes will be communicated in writing.
